Lawyer (logistics) in HR Agency Key People

We are looking for a lawyer to support international trade agreements and financial structures, working at the intersection of international trade, deal financing and corporate law.

This is a role for a specialist who understands the logic of commodity transactions, financial instruments and legal risks, and is able to structure deals so that they are legally clean, secure and operationally feasible.

The lawyer will work in conjunction with the Trade Finance and Logistics teams, supporting agreements from their structuring to full closure.

ZONES OF RESPONSIBILITY

1. Legal structuring of agreements

• Development and analysis of legal structures of international trade agreements
• Preparation and verification of contracts for the sale of goods
• Support of financial instruments in trade transactions
• Formation of the legal logic of the agreement together with financial and operational teams

2. Contract documentation

• Preparation and approval: SPA / Sale contracts, Supply agreements, Loan agreements, Security agreements, Guarantees and indemnities)
• Control of compliance of documents with financing conditions
• Preparation of legal templates for standard agreements

3. Trade Finance documents

• Legal support: letters of credit (LC, UCP 600), bank guarantees (SBLC, URDG 758), factoring and forfeiting schemes
• Verification of documents within documentary operations

4. Sanction and compliance check

• Counterparty verification (KYC / UBO)
• Analysis of sanctions restrictions (EU / OFAC / UK sanctions regimes)
• Assessment of legal risks of international operations

5. Legal risk management

• Identification of potential risks in trade and financial structures
• Development of mechanisms for legal protection of agreements
• Support of complex or non-standard cases

6. Work with external lawyers

• Coordination of international legal advisors
• Quality control of legal opinions
• Support of cross-border legal issues

Our candidate:

• Has 5+ years of experience in logistics, international law, banking or corporate law
• Experience with international contracts or financial instruments
• Understanding international trade and commercial document flow
• Experience working with banks or financial institutions will be an advantage
