We provide certification and licensing of our products, providing customers and partners of the holding with high-quality and reliable solutions.

We are looking for an experienced Lawyer with a strong background in IT and corporate law. In this role, you will provide legal support for mergers, acquisitions, joint ventures, and other corporate transactions. You will draft, review, and negotiate transaction documents, ensure compliance with relevant laws, and advise on regulatory and compliance issues. Your expertise will help guide our fund’s management through complex legal matters and build strong client relationships to support successful business outcomes.

Requirements:

• Legal experience as a lawyer for at least five years, IT-related experience not less than three years;
• Legal experience in supporting investments in the IT area;
• Understanding corporate structuring of IT projects;
• Experience in SHA, partnership agreements, earn-out terms, and M&A processes;
• IP rights secure and protection;
• Understanding business plans and P&L reports;
• Cyprus, EU, and UK companies support.

Will be a plus:

• Experience in an investment fund;
• Proven record of successful M&A/exit deals;
• Experience in the gaming industry.

Responsibilities:

• Provide legal support to the fund’s management on mergers, acquisitions, joint ventures, and other corporate transactions;
• Draft, review, and negotiate transaction documents such as merger agreements, purchase agreements, shareholder agreements, and confidentiality agreements;
• Ensure that all documentation complies with relevant laws and regulations;
• Advise fund’s management on regulatory and compliance issues related to M&A activities;
• Communicate effectively with clients to understand their business objectives and legal needs, building and maintaining strong client relationships;
• Conduct legal due diligence on investment targets to identify potential legal issues and risks;
• Assist in the integration process post-transaction;
• Handle any legal issues that arise after the deal is completed.
